1. Introduction

These Terms and Conditions govern your use of products, services, and resources provided by Dialogic Solutions Ltd (“Company”). By engaging with our services, you agree to be bound by these terms.

“Company” refers to Dialogic Solutions Ltd.
“Client/customer” refers to the individual or private/public entity engaging in business with the Company.
“Products/Services” refer to any solutions, physical products, intangible services, advice, technologies, and support provided by the Company.
“Stakeholders” refers to any individual or organisation that the activities of the Company may impact directly or indirectly.

 

3. Scope of Services

Dialogic Solutions Ltd specialises in providing STEM-based solutions and services, including but not limited to engineering Consultancy and services, technologies procurement and operations, and cloud-based innovations, manufacturing and other objects approved by Corporate Affairs Commission (CAC), Nigeria under the Company registration number 8188369. Products Services may vary based on agreements with each Client/customer.

 

4. Client Responsibilities

Clients shall:

  • Provide accurate and timely information to facilitate service delivery.

  • Use the Company’s products and services in compliance with applicable laws and regulations within their jurisdiction and in compliance with international laws.

  • Refrain from unauthorized use, copying, or distribution of proprietary content from the Company or any other Company or individual.

 

5. Intellectual Property

All intellectual property, including but not limited to designs, software, images, reports, codes, trade secrets, trademarks, logo, registered and non-registered copyright, process and procedures, tangible and intangible assets, and solutions developed by the Company and its employees, during competitions or Dialogic Knowledge Ecosystems programmes/events, remains the sole property of Dialogic Solutions Ltd unless otherwise agreed upon in writing.

 

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement including temporary and permanent employments.

 

7. Warranties and Disclaimers

The Company provides services on an “as is” basis without any warranties, express or implied. While every effort is made to ensure quality and performance, the Company does not guarantee uninterrupted or error-free services.

 

8. Limitation of Liability

Dialogic Solutions Ltd shall not be held liable for:

  • Any indirect or consequential damages arising from the use of services or products.

  • Loss of data, revenue, or profits due to delays, errors, or interruptions under any circumstances.

 

9. Payment Terms

Clients agree to pay fees as outlined in the agreement or services they register for. Late payments may incur additional charges as per the Company’s policy on debt and late payment recovery policy.

 

10. Termination

The Company reserves the right to terminate services in the event of non-compliance with these terms or poor performance or based on a discovery of undisclosed and risky-prone information. Clients may terminate engagement by providing written notice, subject to any applicable cancellation fees.

 

11. Governing Law

These Terms and Conditions are governed by the laws of Nigeria, the Headquarters of the Company, without regard to conflict of law principles in other jurisdictions.

 

12. Amendments

The Company reserves the right to update or modify these Terms and Conditions at any time without informing any of the stakeholders. Clients will be notified of significant changes based on how it materially impacts them.
